SPARR Hub Partner Terms of Service

1. PARTIES AND AGREEMENT
This Hub Partner Terms of Service ("Hub Terms") is a binding legal agreement between SPARR Technologies ("SPARR") and the gym, martial arts facility, or training organization ("Hub," "Partner," "you") that registers for and uses the SPARR Hub Dashboard and associated B2B services (the "Hub Platform"). By completing Hub registration and accessing the Hub Dashboard, the authorized representative of the Hub agrees to these Terms on behalf of the Hub entity.
2. HUB ACCOUNT AND ACCESS
SPARR grants the Hub a limited, non-exclusive, non-transferable license to access and use the Hub Dashboard for the purpose of managing its roster, viewing analytics, and handling subscriptions through the Platform. This license is conditional on continued compliance with these Hub Terms. The Hub is responsible for all activity conducted through its Dashboard account, including all actions of its administrators, staff, and any person it grants access credentials.
3. FACILITY SAFETY — HUB'S SOLE RESPONSIBILITY
3.1 Full Operational Responsibility
The Hub acknowledges and agrees that it bears sole and complete responsibility for the safety, maintenance, and operation of its physical facilities and for the conduct of all persons — including fighters, trainers, coaches, staff, and visitors — within those facilities.
This responsibility includes, without limitation:
Maintaining safe flooring, equipment, padding, and training environments
Ensuring adequate supervision of all training and sparring sessions
Vetting, credentialing, and monitoring all coaches and trainers
Enforcing appropriate safety rules and match-making standards during sparring
Maintaining valid liability insurance coverage appropriate for a martial arts facility
Complying with all applicable local, national, and international safety regulations, labor laws, and sports governance standards
3.2 Independent Operation
The Hub is an independently operated third party. Nothing in these Hub Terms creates an employment, agency, joint venture, or partnership relationship between the Hub and SPARR. SPARR does not direct, supervise, or control the Hub's physical operations in any manner.
3.3 Indemnification by Hub
The Hub shall indemnify, defend, and hold harmless SPARR Technologies, its officers, employees, contractors, and affiliates from and against any and all claims, damages, losses, legal fees, and liabilities arising out of or related to:
(a) Any injury, death, or property damage occurring at or in connection with the Hub's facilities;
(b) The Hub's failure to maintain safe premises, adequate supervision, or appropriate safety standards;
(c) The conduct of the Hub's trainers, staff, or members;
(d) The Hub's breach of any applicable law or regulation;
(e) Any misrepresentation made by the Hub to SPARR or to users of the Platform.
4. DATA ACCESS, EXPORTS, AND SECURITY RESPONSIBILITY
4.1 SPARR's Data Security Obligations
SPARR maintains industry-standard security practices for data stored within the SPARR Platform database, including encrypted storage, access controls, and routine security audits. SPARR is responsible for the security of user data within its own controlled systems.
4.2 Hub Dashboard Data Access
Through the Hub Dashboard, Hub administrators may access fighter profile data, roster information, session records, and analytics pertaining to their Hub's members. This access is provided solely for the purpose of Hub management.
4.3 Data Export Functionality — Executive Reports and CSV Exports
The Hub Platform provides functionality to generate Executive Reports and export data in CSV format (collectively, "Exported Data"). Upon export, this Exported Data leaves SPARR's controlled technical environment and resides entirely within the Hub's possession and control.
4.5 Data Processing Agreement
By accepting these Hub Terms, the Hub acknowledges that it acts as an independent data controller with respect to Exported Data and that SPARR acts as a data processor only with respect to data stored within its Platform. The Hub warrants that it has an independent lawful basis for processing fighter personal data accessed through the Dashboard.
5. SUBSCRIPTION AND PAYMENT
Hub access to premium Dashboard features is subject to the applicable subscription plan selected at registration. Subscription fees are non-refundable except as required by applicable law. SPARR reserves the right to modify subscription pricing with 30 days' written notice. Failure to maintain a current subscription will result in suspension of Dashboard access. Fighter-facing app functionality may be unaffected by Hub subscription status.
6. PROHIBITED CONDUCT
The Hub may not: Share Dashboard login credentials with unauthorized parties Export data for use outside the scope of legitimate Hub management Use the Platform to engage in discriminatory, harassing, or unlawful conduct toward fighters Misrepresent its credentials, certifications, or facility conditions to users or to SPARR
7. TERM AND TERMINATION
These Hub Terms are effective upon Hub registration and continue indefinitely until terminated. Either party may terminate with 14 days' written notice. SPARR may terminate immediately and without notice for material breach, including but not limited to data mishandling, facility safety violations, or conduct harmful to SPARR users. Upon termination, the Hub's Dashboard access is revoked and the Hub must destroy any Exported Data within 30 days.
8. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPARR'S TOTAL CUMULATIVE LIABILITY TO THE HUB FOR ANY CAUSE WHATSOEVER SHALL NOT EXCEED THE TOTAL SUBSCRIPTION FEES PAID BY THE HUB IN THE 3 MONTHS IMMEDIATELY PRECEDING THE CLAIM. SPARR SHALL NOT BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL, OR PUNITIVE DAMAGES ARISING FROM THE HUB'S USE OF THE PLATFORM.
9. GOVERNING LAW AND DISPUTES
These Hub Terms are governed by the laws of the Hashemite Kingdom of Jordan. Any disputes shall be resolved through binding arbitration in Amman, Jordan.
10. ENTIRE AGREEMENT
These Hub Terms, together with any executed Order Forms or Subscription Agreements, constitute the entire agreement between SPARR and the Hub and supersede all prior negotiations or representations.
